BITPAY'S "MOTHER’S DAY GIFT CARD" GIVEAWAY (the “Sweepstakes”)

OFFICIAL RULES (“The Rules”)

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

SPONSOR. The Sponsor of this Sweepstakes is BitPay Inc., 1201 W Peachtree St NW, Ste 2625, PMB 91017, Atlanta GA 30309-3499 (the "Sweepstakes Sponsor”).

ELIGIBILITY. This Sweepstakes is open to legal residents of the fifty (50) United States (including the District of Columbia), who, at the time of entry, are at least eighteen (18) years of age or older or the age of majority in their jurisdictions of residence (whichever is older) (the "Entrant"). The Sweepstakes is not open to employees of the Sweepstakes Sponsor, its respective parents, subsidiaries, affiliates and related companies, representatives, agents, advertising or promotion agencies, Sweepstakes prize suppliers, any other companies engaged in the development, production or distribution of materials for this Sweepstakes (collectively, the “Sweepstakes Parties”), and members of their immediate families (defined as spouse, parent, child, sibling, grandparent, regardless of where they live), or persons domiciled with (whether related or not), of any of the above.

SWEEPSTAKES PERIOD. The Sweepstakes begins at 12:00 pm Eastern Time (ET) on April 15, 2024 and ends at 11:59 pm ET on May 12, 2024 (the "Sweepstakes Period").

HOW TO ENTER. The Sweepstakes must be entered by submitting an entry using the online form provided at https://gleam.io/eYvlU/bitpays-mothers-day-gift-card-giveaway and pass any verification requirements (email or fraud score) set by the Sponsor. The entry must fulfill all requirements of the Sweepstakes, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications of the Sweepstakes may be disqualified at the sole discretion of the Sponsor. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules of the Sweepstakes, your submission may be disqualified at the sole discretion of the Sponsor. The sole determinant of time for the purposes of receipt of a valid Entry in this Sweepstakes will be the Sweepstakes server machine(s). Automated, scripted or robotic entries are prohibited, and any use of such automated devices may result in disqualification. Proof of submission does not constitute proof of receipt.

NO PURCHASE NECESSARY. Although online access and an email account are required in order to participate in the Sweepstakes, no purchase is required. Many public libraries, Internet cafés, retail businesses and others offer access to the Internet and a number of Internet service providers and other companies offer free email accounts.

Alternative Entry Method: If an Entrant does not want to make a Qualifying Gift Card Purchase as set forth in the online sweepstakes form, an Entrant alternatively may receive an Entry by legibly hand-printing in black or blue ink on a 3” x 5” card his/her first and last name, street address, city, state, ZIP code, email address, and daytime telephone number (optional), in the event his/her name is drawn as a potential winner of this Sweepstakes and mailing the card with first class postage affixed to: BitPay, Inc., C/O Mother’s Day Gift Card Giveaway, 1201 W Peachtree St NW, Ste 2625, PMB 91017, Atlanta GA 30309-3499. Limit one (1) mail-in Entry per person/email address. Mail-in submissions must be postmarked by May 12, 2024 and received by May 14, 2024 to receive an Entry in the Sweepstakes. Illegible, incomplete, inaccurate, lost, late, misdirected, stolen, delayed, damaged, postage due, machine printed, typewritten or mechanically reproduced mail-in Entry submissions will not be accepted. An Entrant’s submission of an Entry by mail certifies that he/she (i) is satisfying all eligibility requirements set forth herein, and (ii) has read and complied with the terms and conditions of these Official Rules.

PRIZE, APPROXIMATE RETAIL VALUE ("ARV") & DRAW. Ten (10) Grand Prize winners will receive an electronic gift card (the “Prize”). The ARV of the Prize is USD$250. Prize must be accepted as awarded and cannot be substituted, transferred or exchanged, except at the sole and absolute discretion of the Sweepstakes Sponsor, which may award a substitute prize of equal or greater value. All Prize details are at the Sweepstakes Sponsor’s sole discretion. On May 15, 2024 at 4:00 pm ET ten (10) entries will be randomly selected (using the Gleam contest platform) from among all eligible entries received during the Sweepstakes Period. The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period. The randomly selected winner will be displayed on the Gleam contest widget on the original contest post.

No responsibility is assumed by the Sweepstakes Group (as defined herein) for any inability for a potential entrant to successfully enter any draw for any reason. The Sweepstakes Group is not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete entries. Proof of transmission (e.g. screenshots) and/or mailing does not constitute proof of delivery.

HOW TO CLAIM THE PRIZE. If you are selected as eligible to win the Prize, you will be notified by email within three (3) business days following the draw (the “Notification”). In order to be declared a winner, a potential winner must: (i) respond to correspondence from the Sweepstakes Sponsor within five (5) business days of Sweepstakes Sponsor’s Notification; (ii) sign a form of Declaration of Compliance and Release and return to the Sweepstakes Sponsor by fax or email within five (5) business days of receipt of the Release; and (iii) otherwise comply with these Rules. If a potential winner fails to meet any of these requirements, he/she will be disqualified and forfeit the Prize. The Sweepstakes Sponsor may then, at its sole and absolute discretion, select by random draw another eligible entrant whom the Sweepstakes Sponsor or its representatives will attempt to contact, and who will be subject to disqualification in the same manner. The potential winner may be required to furnish proof of identification that may include a driver’s license or other form of photo identification as part of the verification process. The Sweepstakes Sponsor will not be responsible for failed attempts to notify any potential Prize winner.

No responsibility is assumed by the Sweepstakes Sponsor for the Prize after it has been shipped, and winner bears all risk of loss or damages to his/her Prize after shipping. The Sweepstakes Sponsor makes no representations or warranties of any kind concerning the appearance, safety or performance of any Prize.

ADDITIONAL CONDITIONS OF PARTICIPATION. By participating in this Sweepstakes, each entrant accepts and agrees to these Rules and all decisions of the Sweepstakes judges (who may be employees, agents or independent contractors of the Sweepstakes Sponsor), which shall be final and legally binding on the entrant in all matters relating to this Sweepstakes including, without limitation, eligibility and/or disqualification of Entries. All Entries become the property of the Sweepstakes Sponsor and will not be acknowledged or returned. No responsibility is assumed by the Sweepstakes Group for any inability for a potential entrant to successfully enter any draw for any reason. The Sweepstakes Group is not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete Entries. Proof of transmission (e.g. screenshots) does not constitute proof of receipt by the Sweepstakes Sponsor. By submitting an Entry to this Sweepstakes, entrants confirm their compliance with these Rules, and release the Sweepstakes Parties, and each of their officers, directors, agents, representatives and employees, the Sweepstakes judges, successors and assigns (collectively, the “Sweepstakes Group”) from all liability or responsibility for any claim arising in connection with participation in this Sweepstakes or any prize awarded.

DISCLAIMERS. The Sweepstakes Sponsor will not be responsible for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with sender, Sweepstakes Sponsor, or Sweepstakes Sponsor's Contest application service provider.

If a winner is ineligible, or fails to comply with any term or condition of these Rules or any other applicable rules, that winner will be disqualified. The Sweepstakes Sponsor may decide, in its sole discretion, not to select a substitute winner and the prize will remain the property of the Sweepstakes Sponsor.

In the event the Sweepstakes is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of the Sweepstakes Sponsor which corrupt or impair the administration, security, fairness or proper operation of the Sweepstakes, the Sweepstakes Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, the Sweepstakes Sponsor reserves the right to award prizes based on the entries received before the termination date. Proof of sending or submission of an entry will not be deemed proof of receipt by the Sweepstakes Sponsor.

DISPUTES. Entrants/winner agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the prize awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively by the US District Court for the Northern District of Georgia or the appropriate State Court located in Fulton County, Georgia; Entrants/winners submit to sole and exclusive personal jurisdiction to said courts exclusively in the US District Court for the Northern District of Georgia or the appropriate State Court located in Fulton County, Georgia for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will entrants/winners be permitted to obtain awards for and entrants/winners hereby waive all rights to claim punitive, incidental, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants/winner or the Sponsor and its agencies in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the state of Georgia, without giving effect to any choice of law or conflict of law rules of provisions (whether of the state of Georgia, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Georgia.

LIMITATION OF LIABILITY. By entering this Sweepstakes, each entrant and winner acknowledges and agrees that the Sweepstakes Group: (i) shall have no liability of any kind whatsoever with respect to this Sweepstakes and/or the awarding, use or misuse of the prize, (ii) makes no warranty, guaranty or representation of any kind concerning the prize, (iii) disclaims any implied warranty, and (iv) is not liable for injury, loss or damage of any kind resulting from the entrant’s acceptance, use or misuse of the prize or otherwise from such entrant’s participation in this Sweepstakes.

PERSONAL INFORMATION AND PUBLICITY RIGHTS. Unless entrants otherwise indicate, the personal information collected, used and disclosed by the Sweepstakes Sponsor about entrants in the course of this Sweepstakes will be used by the Sweepstakes Sponsor for the administration of the Sweepstakes and prize fulfillment. The Sweepstakes Page is hosted on servers in the United States, and the personal information you provide may therefore also be subject to the laws of the United States. By participating in this Sweepstakes or accepting a prize, you agree to the Sweepstakes Sponsor's use of your name, city/province of residence, picture, biographical information, statements, voice and likeness in any advertising and publicity the Sweepstakes Sponsor may conduct relating to the Sweepstakes in any media or format, whether now known or hereafter developed, including but not limited to the World Wide Web, at any time or times in perpetuity, without further compensation or notice.
