Sponsor: The Sponsor of the Sweepstakes is Storck USA L.P., 325 N. LaSalle, Suite 400, Chicago, IL 60654 (“Storck USA L.P.” or “Sponsor”).
Administrator: The Administrator of the Sweepstakes is Pahnke LP (d/b/a dame Creative Agency), 306 W. Erie, Suite 300, Chicago, IL 60654 (“Administrator”).
Eligibility: Werther’s Original Soft Music Machine Sweepstakes ("Sweepstakes") is only open to those who sign up at https://gleam.io/PJ27J/werthers-original-soft-music-machine-sweepstakes. The Sweepstakes is only open to legal United States residents who (i) are twenty-one (21) years of age or older at the time of Entry, and (ii) enter the Sweepstakes as provided in Sections 4 and 5 (each, an “Entrant” or “You”).
Employees, independent contractors, interns, officers, directors, and agents of Sponsor or Administrator and their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited.
4. Entry Period: The Sweepstakes begins on July 7, 2026 at 10:00AM CDT and ends on July 31, 2026 at 11:59PM CDT (the "Entry Period"). For purposes of these Official Rules, all times and days are CDT. Administrator’s computer is the official clock for all matters related to this Sweepstakes. Entries submitted before or after the Entry Period will not be eligible.
5. How to Enter: THERE IS NO PURCHASE NECESSARY TO ENTER OR WIN. The Sweepstakes must be entered, and can only be entered, by following the @werthersoriginalus Instagram account and tagging two friends in the comments section(the“Entry”)of this Post https://www.instagram.com/p/DafwVf9Csyg/?img_index=1 (the “Post”) created by the Administrator. Entrants must have a valid personal Instagram account in order to participate in and be eligible to win the Sweepstakes. The Entry must comply with these Official Rules to be eligible to win a Prize. Entries that do not adhere to these Official Rules may be disqualified at the sole discretion of the Sponsor. You may enter as many times as you wish, provided that each Entry consists of a separate comment to the Post and tags two of your Instagram friends and complies with all Official Rules. Entrants are permitted to tag the same two (2) friends in multiple Entries during the Sweepstakes Entry Period. In each of your comments to the Post, you must provide the information requested in the Post. If you use fraudulent methods or otherwise attempt to circumvent these Official Rules, your submission may be disqualified at the sole discretion of the Sponsor.
6. LIMITATIONS: Each eligible Entrant may submit an unlimited number of Entries during the Sweepstakes Entry Period. Each eligible Entrant may win only one (1) Prize (as defined below).
All Entries become the property of Sponsor. Entries which are late, lost, invalid, unreadable, tampered with, unintelligible, incomplete, misdirected, generated by a script, macro or other automated/repetitive electronic means, mechanically reproduced, inaccurate, forged, irregular in any way or otherwise not in compliance with these Official Rules will be disqualified at the sole discretion of the Sponsor.
Each Entry (and each individual component thereof) must conform to these Official Rules. Sponsor, in its sole discretion, may disqualify any Entrant from the Sweepstakes if it believes, in its sole and absolute discretion, that the Entrant or her/his/their Entry fails to conform to these Official Rules.
7. Prizes: The Winner(s) of the Sweepstakes (the "Winner" or collectively,
“Winners” or “All Winners”) will receive the following Prizes:
200 Winner(s) will each receive a Werther's Original Soft Music Machine, Werther’s Original headphones, custom Werther’s Original Soft Caramel Rock Cassette, and 1 bag of Werther’s Original Soft Caramels awarded as 1 complete shipment with an approximate retail value (“ARV”) of $24.99 per Winner, collectively “the “Prize”).
ARV of one (1) Prize: $24.99; TOTAL ARV of all Prizes: $4,998.00.
Actual/appraised value of Prizes may differ at time of Prize award. The specifics of the Prize shall be solely determined by the Sponsor. No cash or other Prize substitution shall be permitted except at the Sponsor's discretion. The Prize is nontransferable. Substitution of the Prize or transfer/assignment of the Prize to others or request for the cash equivalent of the Prize by the Winner is not permitted. Any and all Prize-related expenses, including without limitation any and ALL FEDERAL, STATE, AND LOCAL TAXES (INCLUDING INCOME AND WITHHOLDING TAXES) AND ALL OTHER COSTS AND EXPENSES ASSOCIATED WITH RECEIPT OR USE OF A PRIZE ARE THE WINNER’S SOLE RESPONSIBILITY. All federal, state, and local laws and regulations apply. Acceptance of the Prize constitutes permission for the Sponsor to use the Winner’s name, likeness, and Entry for purposes of advertising and trade without further compensation, unless prohibited by law.
Sponsor reserves the right to substitute the Prize with equal or greater value if the Prize becomes unavailable for any reason. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules shall prevail and govern.
As a condition of receiving the Prize, the Winner may be required to complete and return an Affidavit of Eligibility, a Liability Release, and (where permitted by law) a Publicity Release. Failure to return required documents may result in forfeiture of the Prize and selection of an alternate Winner. Sponsor reserves the right to modify the required document procedures in connection with the selection of any alternate Winner.
8. Odds of Winning: The odds of winning depend on the number of eligible Entries received.
9. Random Drawing/Selection of Winners/Odds and Notification: Each Winner will be selected under the supervision of the Sponsor by random from all valid Entries made to the Post. Each potential Winner will be notified by the Sponsor’s official Instagram account, @werthersoriginalus, via reply comment on the Sweepstakes Post and will be required to send a direct message to the Sponsor on Instagram within 72 hours of notification to claim their Prize. Failure to respond within the required timeframe may result in disqualification and selection of an alternate Winner. The Sponsor shall have no liability for a Winner's failure to receive notices due to spam, junk e-mail or other security settings or for a Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner cannot be contacted, is ineligible, fails to claim the Prize within 72 hours from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the Prize may be forfeited and an alternate Winner may be selected. Receipt of the Prize offered in this Sweepstakes by the Winner is conditioned upon compliance with any and all federal, state, and local laws and regulations.
Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes if fraud, technical issues, force majeure events (including but not limited to acts of God, natural disasters, pandemics, government orders, or other circumstances beyond Sponsor’s reasonable control), or other factors compromise the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion.
Any violation of these Official Rules by the Winner at the Sponsor's sole discretion will result in the Winner's disqualification as a Winner, and all privileges as a Winner will be immediately terminated. Sponsor may disqualify any Entrant who tampers with the Entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Any attempt to deliberately damage or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.
10. Rights Granted by the Entrant: By entering this Sweepstakes (e.g., photo, video, text, etc.), you understand and agree that the Sponsor and anyone acting on behalf of the Sponsor or its respective licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your Entry, name, portrait, picture, voice, likeness, image, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent. By entering this content, you represent and warrant that your Entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property (“IP”) rights. If your Entry infringes upon the IP rights of another, you will be disqualified at the sole discretion of the Sponsor. If the content of your Entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, you shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Storck USA L.P. from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Storck USA L.P. may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.
11. Terms and Conditions: The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes should virus, bug, non-authorized human intervention, fraud, or other cause beyond the Sponsor’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such cases, the Sponsor may select a Winner(s) from eligible Entries received before and/or after the action taken by the Sponsor if appropriate. The Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the Entry process or the operation of the Sweepstakes or website or violates these Terms and Conditions. The Sponsor has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void Entries for any reason, including, but not limited to: multiple Entries from the same user from different IP addresses; multiple Entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an Entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.
12. General Conditions: Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes if fraud, technical issues, force majeure events (including but not limited to acts of God, natural disasters, pandemics, government orders, or other circumstances beyond Sponsor’s reasonable control), or other factors compromise the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion.

Limitation of Liability: By entering the Sweepstakes you agree to release and hold harmless Storck USA L.P. and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any Prize or any portion thereof; (ii) unauthorized human intervention in any part of the Sweepstakes; (iii) electronic or human error in the administration of the Sweepstakes or the processing of Entries; (iv) technical errors of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (v) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (vi) printing errors; (vii) lost, late, Postage due, misdirected, or undeliverable mail.
DISPUTE RESOLUTION/BINDING AGREEMENT TO ARBITRATE: YOU AND SPONSOR BOTH AGREE TO RESOLVE ANY AND ALL DISPUTES, CONTROVERSIES OR CLAIMS THAT IN ANY WAY ARISE OUT OF OR RELATE TO THESE OFFICIAL RULES OR FROM ANY SERVICES YOU RECEIVE FROM SPONSOR (OR FROM ANY ADVERTISING FOR ANY SUCH SERVICES), INCLUDING ANY DISPUTES BETWEEN YOU AND SPONSOR’S EMPLOYEES OR AGENTS (COLLECTIVELY, “DISPUTE(S)”), ONLY BY ARBITRATION ON AN INDIVIDUAL BASIS. YOU UNDERSTAND THAT BY AGREEING TO THESE OFFICIAL RULES, ARBITRATION WILL BE THE SOLE AND EXCLUSIVE MEANS OF RESOLVING ANY DISPUTE BETWEEN US. YOU ALSO UNDERSTAND THAT BY AGREEING TO THESE OFFICIAL RULES, YOU AND SPONSOR ARE GIVING UP THE RIGHT TO BRING A CLAIM IN COURT OR IN FRONT OF A JURY, AND THAT YOU AND SPONSOR ARE GIVING UP THE RIGHT TO PROCEED WITH ANY CLASS ACTION OR OTHER REPRESENTATIVE ACTION. Sponsor and Entrant both agree that:
Notice of Dispute. If either you or Sponsor intends to arbitrate under these Official Rules, the party seeking arbitration must first notify the other party of the Dispute in writing at least thirty (30) days in advance of initiating the arbitration. Notice to Sponsor should be sent to Sponsor either by mail to 325 N. LaSalle, Suite 400, Chicago, Illinois 60654 or email at [email protected]. Notice to you will be to your email address(es) and street address(es), if any, that Sponsor has in its records at the time the notice is sent. The notice must describe the nature of the claim and the relief being sought. If we are unable to resolve the Dispute within thirty (30) days, either party may then file a claim for arbitration.
Arbitration Procedure. The Federal Arbitration Act applies to these Official Rules. Any and all Disputes will be resolved by arbitration administered by the American Arbitration Association (“AAA”), which will apply the AAA's Consumer Arbitration Rules (excluding any rules or procedures governing or permitting class actions). You can get additional information from the AAA (www.adr.org). These Official Rules govern to the extent they conflict with the AAA’s Rules.
Arbitration Location. Unless you and Sponsor agree otherwise, the arbitration must take place in Cook County, Illinois.
Arbitration Fees and Expenses. Sponsor will reimburse any filing fee that the AAA charges you for arbitration of the Dispute. If you provide us with signed written notice that you cannot pay the filing fee, we will pay the fee directly to the AAA. If the arbitration proceeds, we will also pay any administrative and arbitrator fees charged later.
Severability. If any part of this agreement to arbitrate is found by a court of competent jurisdiction to be unenforceable, the court will reform the agreement to the extent necessary to cure the unenforceable part(s), and the parties will arbitrate their Dispute(s) without reference to or reliance upon the unenforceable part(s). However, if for any reason the Class Action Waiver set forth below cannot be enforced as to some or all of the Dispute, then the agreement to arbitrate will not apply to that Dispute or portion thereof, but the remainder of the agreement to arbitrate will be binding and enforceable. The parties do not agree to class arbitration or to the arbitration of any claims brought on behalf of others.
CLASS ACTION WAIVER. THESE OFFICIAL RULES DO NOT ALLOW CLASS OR COLLECTIVE ARBITRATIONS, EVEN IF THE AAA PROCEDURES OR RULES WOULD. NOTWITHSTANDING ANY OTHER PROVISION OF THESE OFFICIAL RULES, THE ARBITRATOR MAY AWARD MONEY OR INJUNCTIVE RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE THE RELIEF WARRANTED BY THAT PARTY'S INDIVIDUAL CLAIM. ARBITRATION OR COURT PROCEEDINGS HELD UNDER THESE OFFICIAL RULES CANNOT BE BROUGHT, MAINTAINED OR RESOLVED ON BEHALF OF OR BY A CLASS, AS A PRIVATE ATTORNEY-GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY. IN ADDITION, INDIVIDUAL PROCEEDINGS CANNOT BE COMBINED WITHOUT THE CONSENT OF ALL OF THE PARTIES. ANY QUESTION REGARDING THE ENFORCEABILITY OR INTERPRETATION OF THIS PARAGRAPH WILL BE DECIDED BY A COURT AND NOT THE ARBITRATOR.
JURY TRIAL WAIVER. IF, FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND SPONSOR AGREE THAT THERE WILL NOT BE A JURY TRIAL. YOU AND SPONSOR UNCONDITIONALLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM IN ANY WAY ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES. IN THE EVENT OF LITIGATION, THIS PARAGRAPH MAY BE FILED TO SHOW A WRITTEN CONSENT TO A TRIAL BY THE COURT.
Each Entrant must be the rightful owner of the email address used to enter the Sweepstakes and/or or have authorized use of the email account associated with the Entrant’s submitted email address (if provided). If a dispute arises about who submitted an Entry, the Entry will be deemed submitted by the authorized account holder of the email account provided. The “authorized account holder” is deemed the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. A potential Winner may be requested to provide Sponsor with proof that the potential Winner is the authorized account holder of the email address associated with the winning Entry and that all eligibility requirements are met.
15. Privacy Policy: Personal information collected from Entrants, which includes, but is not be limited to, name, email address, and Instagram handle, will be collected by Sponsor for the purposes of administering the Sweepstakes, fulfilling the Prize, and for other purposes, including Sponsor using such personal information for marketing purposes. Winners List: To request a copy of the Winners list please contact the Administrator. Requests must be dated and sent to the Administrator within four (4) weeks of the end of the Entry Period.
The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Facebook, X, Instagram, Snapchat, YouTube, Reddit, Pinterest, LinkedIn or any other social networks that are used to share the Sweepstakes. You understand that you are providing your information to the owner of the Sweepstakes and not to Facebook, X, Instagram, Snapchat, YouTube, Reddit, Pinterest, LinkedIn or any other social networks.
18. Acceptance of Rules: By participating in the Sweepstakes, you have affirmatively reviewed, accepted, and agreed to all of the Official Rules, Terms and Conditions.
